Terms of Service
These Terms of Service govern your access to and use of Wubet. Please read these terms carefully before creating an account or booking appointments through our platform.
1. Acceptance of Terms
These Terms of Use (“Terms”) govern your access to and use of the Wubet SaaS platform and related services (the “Service”). By accessing or using the Service, creating an account, or clicking “I agree,” you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of a business (a “Shop”), you represent that you have authority to bind that Shop to these Terms.
2. Description of the Service
Wubet provides a platform that allows: • Customers to discover shops, view availability, and book appointments. • Shops and their authorized staff to manage schedules, appointments, customer records, services, and related business operations. The Service is provided on a software-as-a-service basis. Features may evolve over time.
3. Eligibility and Account Registration
You must be at least the age of majority in your jurisdiction (or have parental/guardian consent where required) and capable of forming a binding contract. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use. Shop accounts may create and manage staff sub-accounts. The Shop remains fully responsible for the actions of its staff and for compliance with these Terms.
4. Shop Responsibilities and Customer Data
Shops are solely responsible for: • The accuracy of information they post (services, pricing, availability, policies). • Obtaining all necessary consents and providing all required notices to their customers regarding the collection and use of personal data through the Service. • Compliance with all applicable laws relating to their business, appointments, consumer protection, marketing, and data protection. • Fulfilling appointments and handling customer disputes arising from their services. Wubet is a technology platform and is not a party to the appointment relationship between a Shop and a customer. We do not guarantee the quality, safety, or legality of any shop’s services.
5. Acceptable Use
You agree not to: • Use the Service for any unlawful, harmful, fraudulent, or abusive purpose. • Interfere with or disrupt the Service, servers, or networks. • Attempt to gain unauthorized access to any systems or data. • Scrape, harvest, or collect data from the Service except as expressly permitted. • Upload or transmit malware, spam, or content that infringes intellectual property or privacy rights. • Impersonate any person or entity or misrepresent your affiliation. • Use the Service to process special-category or highly sensitive data without our prior written agreement and appropriate safeguards. • Reverse-engineer, decompile, or attempt to derive source code from the Service (except to the extent permitted by law). We reserve the right to suspend or terminate accounts that violate these Terms.
6. Fees and Payment (if applicable)
Certain features or Shop plans may require payment of fees. Fees, billing cycles, and payment terms will be presented at the time of purchase or in a separate order form. You authorize us (and our payment processors) to charge the payment method on file. Fees are generally non-refundable except as required by law or expressly stated. We may change pricing with notice; continued use after the effective date constitutes acceptance.
7. Intellectual Property
The Service, including its software, design, text, graphics, logos, and all related intellectual property, is owned by Wubet or its licensors and is protected by applicable laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended purpose and in accordance with these Terms. You retain ownership of content you submit (“User Content”), but you grant Wubet a worldwide, royalty-free license to host, store, process, display, and use that content as necessary to provide and improve the Service. You represent that you have all rights necessary to grant this license and that your User Content does not violate any third-party rights.
8. Third-Party Services
The Service may integrate with or link to third-party services (payment processors, messaging providers, analytics, etc.). Your use of those services is subject to their own terms and privacy policies. We are not responsible for third-party services.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT APPOINTMENTS WILL BE FULFILLED AS EXPECTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WUBET AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), IF YOU HAVE NOT PAID ANY FEES. Some jurisdictions do not allow certain limitations; in such cases, the limitations apply to the fullest extent permitted.
11. Indemnification
You agree to indemnify, defend, and hold harmless Wubet and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) any dispute between a Shop and its customers.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or for operational or security reasons. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, and indemnification) will survive.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of Ethiopia, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts located in Addis Ababa, Ethiopia, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
14. Changes to the Terms
We may modify these Terms from time to time. We will post the updated Terms and update the “Last Updated” date. Material changes will be notified via the Service or email where appropriate. Your continued use after the effective date constitutes acceptance of the revised Terms.
15. General
These Terms, together with the Privacy Policy and any order forms or supplemental terms, constitute the entire agreement between you and Wubet regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right does not constitute a waiver. You may not assign these Terms without our prior written consent; we may assign them freely. Notices may be provided electronically.
